Fishway acquisition expands Ever After Foods platform

Ever After Foods has acquired Belgian cultivated-seafood specialist Fishway, adding aquatic cell lines, animal-component-free media expertise, and a European scientific team to its industrial protein-manufacturing platform.

The acquisition follows a technical collaboration between the companies that tested whether Fishway’s aquatic biology and media capabilities could operate with Ever After Foods’ production technology. Ever After Foods has also secured an additional $2 million strategic investment to support commercialisation and further development of the platform.

Fishway brings a portfolio of aquatic cell lines and expertise in growth media that do not rely on animal-derived components. Its existing scientific team will join Ever After Foods, while Belgium will remain a centre for aquatic biology and media development within the combined operation.

Ever After Foods is developing a species-agnostic manufacturing system intended to combine cell biology, growth media, bioprocess engineering, and production technology. Its platform includes its proprietary PlantriX edible scaffold technology and an Edible Packed-Bed production system intended to support industrial-scale cultivated-protein manufacture.

The acquisition is intended to reduce the number of technical interfaces between biological development and production engineering. Cultivated-protein projects often require separate work on cell lines, media, process conditions, scaffolds, equipment, and downstream handling before a stable manufacturing method can be established.

Bringing more of those capabilities into one organisation does not remove the underlying scale-up challenge, but it changes how the work can be coordinated. Fishway’s aquatic expertise can now be developed alongside the manufacturing platform rather than transferred between independent companies at each stage.

One of the first commercial programmes will focus on cultivated functional protein ingredients for premium pet food. Ever After Foods has identified the combination of market demand, product value, and the regulatory environment as reasons for choosing that application as an early route to market.

The company is not limiting the platform to pet food. It says the same production architecture will support food manufacturers, ingredient businesses, and cultivated-protein developers working on meat, seafood, and other next-generation protein applications.

That broader ambition places manufacturing efficiency at the centre of the project. Cultivated proteins have moved well beyond proof-of-concept demonstrations, but commercial production still depends on obtaining sufficient cell growth, controlling contamination, reducing media costs, maintaining repeatability, and handling the resulting biomass efficiently.

Those requirements become more demanding as volume increases. Laboratory conditions can be tightly controlled at relatively small scale, while commercial equipment has to operate for longer periods, with more material, more cleaning, more production interfaces, and considerably greater consequences when a batch falls outside specification.

Animal-component-free media is one part of that equation. Removing animal-derived inputs can simplify some aspects of sourcing and product positioning, but the media must still supply cells with the nutrients required to achieve acceptable growth and productivity at a cost that works for the intended product.

Aquatic species bring their own biological requirements, meaning a production platform cannot assume that a process developed for one cell type transfers unchanged to another. The rationale behind the Fishway acquisition is therefore to maintain a common manufacturing architecture while integrating species-specific biology where necessary.

Regulatory preparation will run alongside that technical development. FSA and FSS horizon-scanning has identified cellular agriculture among the technologies expected to create growing regulatory demands, with issues including microbiological hazards, process-contact materials, residual impurities, traceability, and consumer information.

Those questions become increasingly concrete as products approach commercial manufacture. A regulator needs evidence around the production organism or cell line, raw materials, process controls, potential contaminants, finished-product composition, and the consistency of the manufacturing system rather than an assurance that a technology is novel or sustainable.

The Fishway acquisition also gives Ever After Foods a permanent scientific base in Belgium. Keeping the existing team intact should retain specialist knowledge developed around aquatic cell lines and media, while integration with the wider platform gives that work a more direct route into process engineering.

The additional $2 million investment remains modest compared with the capital that full industrial protein manufacturing can require, but it provides further funding for integration and commercialisation. Terms of the acquisition itself have not been disclosed.

Ever After Foods is positioning the business as manufacturing infrastructure available to external developers rather than as a closed system supporting only its own finished products. If that model develops as intended, customers could bring biological or product concepts into a common production architecture instead of building every capability independently.

The first commercial programmes will provide a useful measure of whether that integration shortens development in practice. Pet-food ingredients offer an initial application, while the more demanding test will come when the combined platform is required to produce cultivated meat or seafood consistently at commercially relevant volumes.
